Acceptance of Terms

By accessing and using the Certificate of Good Standing portal (eStanding) operated by the American Samoa Government ("ASG," "we," "us," or "our"), you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use this portal.

Description of Services

The eStanding portal provides the following services:

  • Online requests for Certificates of Good Standing for registered business entities
  • Public verification of entity standing status
  • Access to entity registration information as permitted by law
  • Payment processing for certificate fees

User Eligibility and Account Responsibilities

To request a Certificate of Good Standing, you must:

  • Be at least 18 years of age
  • Be authorized to act on behalf of the business entity
  • Provide accurate and complete information
  • Maintain the confidentiality of any account credentials

You are responsible for all activities that occur under your account and must notify us immediately of any unauthorized use.

Certificate Requests and Processing

Request Submission

When submitting a certificate request, you certify that:

  • All information provided is accurate and truthful
  • You have authority to request the certificate on behalf of the entity
  • You understand that false statements may result in denial of service and potential legal action

Processing Times

Standard processing time is 2-3 business days. Processing times may vary based on volume, completeness of submitted information, and verification requirements. We do not guarantee specific processing times.

Certificate Validity

Certificates of Good Standing are valid as of the date of issuance. The certificate confirms the entity's standing status only at that specific point in time and does not guarantee future standing.

Fees and Payments

Certificate fees are determined by the American Samoa Government and are subject to change. Current fees are displayed on the portal. By submitting payment, you agree that:

  • All fees are due at the time of request submission
  • Fees are generally non-refundable once processing has begun
  • Refunds may be issued at our discretion if a certificate cannot be issued
  • You are responsible for any additional fees charged by your payment provider

Entity Verification Service

The public entity verification service is provided for informational purposes only. While we strive to maintain accurate records, verification results should not be relied upon as the sole basis for business decisions. For official documentation, a Certificate of Good Standing should be requested.

Prohibited Uses

You agree not to:

  • Provide false, misleading, or fraudulent information
  • Impersonate another person or entity
  • Use automated systems to access the portal without permission
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the portal's operation
  • Use the portal for any unlawful purpose
  • Reproduce, distribute, or sell information obtained from the portal except as permitted

THE PORTAL AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AMERICAN SAMOA GOVERNMENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PORTAL OR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless the American Samoa Government, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the portal, violation of these terms, or infringement of any third-party rights.

Governing Law

These Terms and Conditions are governed by the laws of American Samoa. Any disputes arising from these terms or your use of the portal shall be subject to the exclusive jurisdiction of the courts of American Samoa.

Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to the portal. Your continued use of the portal after any changes constitutes acceptance of the modified terms.

Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
